Terms of Service

1. Acceptance of Terms
By accessing or using Voxly ("the Service"), including the website at voxlytranscribes.com, the Voxly Chrome Extension, and the Voxly Safari Extension, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Voxly provides audio transcription, AI-powered enrichment (summaries, tagging, entity extraction, semantic search), and transcript management tools. The Service includes a web portal, a Chrome browser extension, and a Safari browser extension.
3. User Accounts
You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Ownership of Transcripts
You own all transcripts you create. Voxly does not claim ownership of your content. You retain all rights to your transcripts, enrichment data, and any derived content.
5. Intellectual Property
The Service, including its software, design, logos, trademarks, documentation, and all related intellectual property, is owned by Voxly and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
"Voxly" and the Voxly logo are trademarks of Voxly. You may not use these marks without prior written permission.
6. Data Contribution (EULA)
Transcripts derived from publicly available content (e.g., YouTube videos, public podcasts, publicly accessible web content) may be included in Voxly's aggregated data index. This index may be made available via API for research and commercial purposes.
Private content is never included. Transcripts generated from uploaded files or direct recordings are classified as private and are never included in the data index.
You may opt out of data contribution at any time via Settings > Data & Privacy. Opting out removes your future public-source transcripts from the data index.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Transcribe content you do not have the right to access or process
- Attempt to reverse-engineer, disassemble, or decompile any part of the Service
- Use automated means to access the Service beyond the provided API
- Share your account credentials or API keys with unauthorized parties
8. Subscription & Billing
Voxly offers a free tier and paid Pro subscription. The free tier includes unlimited YouTube caption transcription. Pro subscribers receive AI enrichment, cloud sync, and additional features as described on the pricing page. Subscriptions are billed monthly or annually. You may cancel at any time.
9. Data Export & Deletion
You may export all your data at any time in standard formats (JSON, Markdown, SRT, VTT, plain text). You may delete your account and all associated data at any time via Settings > Data & Privacy. Deletion is permanent and irreversible.
10. Service Availability
We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service is provided without a formal Service Level Agreement (SLA). We may perform scheduled or emergency maintenance that temporarily affects availability.
11. Third-Party Services
The Service may use third-party providers for AI enrichment (OpenAI, Google, or your configured provider). YouTube transcripts are fetched directly by the browser extension. Your use of the Service constitutes acknowledgment that data sent to AI providers is processed in accordance with their respective privacy policies.
12. Limitation of Liability
The Service is provided "as is" without warranties of any kind. Voxly is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Transcription accuracy is not guaranteed.
13. Indemnification
You agree to indemnify, defend, and hold harmless Voxly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the Service in violation of these Terms
- Your transcription of content that infringes the intellectual property or other rights of any third party
- Your violation of any applicable law, rule, or regulation
14. Dispute Resolution & Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. Arbitration will be conducted remotely (by videoconference or telephone) unless both parties agree to an in-person hearing. The arbitrator's decision shall be final and binding.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
15. Force Majeure
Voxly shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, pandemics, or third-party service failures.
16. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Voxly regarding the Service and supersede all prior agreements, representations, and understandings.
17. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify users of material changes via email or in-app notification.
